Success story: U.S. CPA and law members combine to secure sale of West Coast's premier goat dairy farm

When Redwood Hill Farm and Creamery, Inc. decided to sell their business to Emmi Group, the M&A transaction required not only cross border expertise, but also the type of insights and clear communication that can only be sourced from professional advisors who know each other well and who themselves are business owners.

Working towards common goals

Simon and I needed to come from one ‘place’ and fully understand the seller’s goals and perspectives. Jennifer values the relationship she has with the buyer. We had to make sure in all dealings that our proposals and negotiations were totally fair for both parties. And in terms of the mass of detail, I was confident that Simon could manage this well, which he did. In fact, he was remarkable. While I handled the financial and tax negotiations, Simon dealt with the multitude of legal and compliance negotiations and the drafting of documents.

When a business owner has spent many years building a successful enterprise, selling the company can be a difficult and emotional time, with seller and buyer naturally wanting to get a fair deal. Complex legal, financial and tax issues have to be negotiated and managed carefully to ensure the best possible outcomes for both parties. So when Redwood Hill Farm and Creamery, Inc. decided to sell their business to Emmi Group, the M&A transaction required not only cross border expertise, but also the type of insights and clear communication that can only be sourced from professional advisors who know each other well and who themselves are business owners. Redwood Hill Farm and Creamery, Inc., the U.S. West Coast’s premier goat creamery, is a long standing client of Alliott Group’s Santa Rosa, CA accounting member Linkenheimer LLP CPAs & Advisors (‘Linkenheimer’).

The owner of the dairy farm, Jennifer Bice, had found a buyer, Emmi Group, Switzerland’s largest milk processor and one of the most innovative premium dairies in Europe. However, she needed help from a multidisciplinary team of experienced business advisors who could tackle the mountain of financial and compliance related matters inherent in a business sale of this size.

Bringing together an experienced multidisciplinary team

Jennifer’s first port of call was John Jones, CPA, a partner at Linkenheimer. As a member of international alliance Alliott Group, John was able to pick up the phone and call Simon Inman, himself a partner and owner at Sonoma based law member Carle, Mackie, Power & Ross LLP (‘CMPR’). Having spent time with Simon at numerous Alliott Group conferences and worked with him on similar transactions, John knew that he could refer Simon with confidence to his client.

A delighted client

The client has not been disappointed with the results achieved from working with the Alliott Group members:

Orchestrating the transaction for the best outcome

"You were both fabulous and so helpful. Your negotiation skills were great and we ended up with a wonderful result that was truly a win/win. It was a positive experience in that you were able to minimize the stress and worry for me. With you both working together, I think you were able to orchestrate the transaction for the best outcome.” Jennifer Bice, Owner

Working towards common goals

With direct access to not only the seller, but to the buyers and their advisors, John Jones knew that he and his legal colleague needed to be on the same page when it came to understanding what their client wanted to achieve: “Simon and I needed to come from one ‘place’ and fully understand the seller’s goals and perspectives. Jennifer values the relationship she has with the buyer. We had to make sure in all dealings that our proposals and negotiations were totally fair for both parties. And in terms of the mass of detail, I was confident that Simon could manage this well, which he did. In fact, he was remarkable.

“While I handled the financial and tax negotiations, Simon dealt with the multitude of legal and compliance negotiations and the drafting of documents.”

A depth and breadth of resources to support expanding clients

The platform provided by Alliott Group, particularly in facilitating regular face to face contact between accountants and lawyers across North America and worldwide, gives clients access to a viable, alternative source of cross border professional expertise and ensures firms can continue to service clients as they grow. Simon Inman, partner at Carle Mackie Power & Ross LLP, comments:

“Being able to work with accounting and law firms we know and trust through Alliott Group ensures that our clients experience a service approach that is joined up and focused on achieving their personal and business objectives, comments Simon Inman. Membership plays a part in helping us to overcome client and market perceptions that we are too small to handle complex cross border matters.”

John Jones adds: “Alliott Group has helped Linkenheimer to build relationships with other firms and to extend our resource base exponentially. This is helping to build the reputation of our firm.”
